Rules for the Purchase and Sale of Goods in the Online Store

1. General Provisions

1.1. These Product Purchase–Sale Rules (hereinafter referred to as the *Rules*) are a legally binding document for both Parties, defining the rights, obligations, and responsibilities of the Buyer and the Seller when the Buyer purchases goods from the online store.
1.2. The Seller reserves the right to modify, amend, or supplement the Rules at any time in accordance with the requirements of applicable laws. The Buyer will be informed of any changes on the online store’s website. When shopping in the online store, the Rules applicable at the time of placing the order shall apply.
1.3. The following persons are entitled to purchase goods in the online store:
1.3.1. natural persons with full legal capacity, i.e., persons who have reached the age of majority and whose legal capacity is not restricted by a court;
1.3.2. minors aged 14 to 18 years with the consent of their parents or guardians, except in cases where they independently manage their income;
1.3.3. legal entities;
1.3.4. authorized representatives of all the above persons.
1.4. By confirming these Rules, the Seller also guarantees that, according to clause 1.3, the Buyer has the right to purchase goods in the online store.
1.5. The contract between the Buyer and the Seller is considered concluded from the moment the Buyer, having formed a shopping cart in the online store, indicated the delivery address, selected a payment method, familiarized themselves with the Seller’s Rules, and clicked the “Confirm Order” button (see section 5 “Ordering of Goods, Prices, Payment Procedure, and Terms”).
1.6. Each contract concluded between the Buyer and the Seller is stored in the online store.

2. Personal Data Protection

2.1. The Buyer can order goods from the online store by:
2.1.1. registering on the website and providing the required registration data; or
2.1.2. without registering on the website.
2.2. When ordering goods by either method specified in clause 2.1, the Buyer must provide the Seller with the necessary personal data for proper order fulfillment: name, surname, delivery address, phone number, and email address.
2.3. By confirming these Rules, the Buyer agrees that the personal data provided under clause 2.2 will be processed for the purposes of selling goods and services in the online store, for the Seller’s business analysis, and for direct marketing purposes.
2.4. By agreeing to the processing of their personal data for the purpose of selling goods and services in the online store, the Buyer also agrees to receive information messages necessary for order fulfillment via the email address and phone number provided.
2.5. The Buyer, when registering and ordering goods, undertakes to keep login details secure and not disclose them to third parties.

3. Buyer’s Rights and Obligations

3.1. The Buyer has the right to purchase goods in the online store in accordance with these Rules and other sections of the website.
3.2. The Buyer has the right to withdraw from the purchase–sale contract by notifying the Seller in writing (via email, specifying the product to be returned and the order number) no later than 14 (fourteen) business days after the delivery date, except in cases where withdrawal is not permitted under Lithuanian law (e.g., for hygiene products such as bedding items; see the “Consumer Centre” website at [http://www.vartotojucentras.lt](http://www.vartotojucentras.lt), section “Specifics of Non-Food Product Returns and Exchanges,” item 18).
3.3. The Buyer may exercise the right described in clause 3.2 only if the product has not been damaged, its appearance has not substantially changed, and it has not been used.
3.4. The Buyer undertakes to accept the ordered goods and pay the agreed price.
3.5. If the Buyer’s registration information changes, they must promptly update it.
3.6. The Buyer undertakes not to disclose their login data to third parties. If the Buyer loses the login data, they must immediately inform the Seller using the contact details provided in the “Contacts” section.
3.7. By using the online store, the Buyer agrees to these Purchase–Sale Rules and undertakes to comply with them and all applicable Lithuanian laws.

4. Seller’s Rights and Obligations

4.1. The Seller undertakes to provide all conditions necessary for the Buyer to properly use the services of the online store.
4.2. If the Buyer attempts to harm the stability or security of the online store or fails to fulfill their obligations, the Seller has the right to immediately, without prior notice, restrict or suspend the Buyer’s access or, in exceptional cases, delete their registration.
4.3. The Seller undertakes to respect the Buyer’s right to privacy and to protect the personal information provided in the registration form.
4.4. The Seller undertakes to deliver the Buyer’s ordered goods to the address specified by the Buyer.

5. Ordering of Goods, Prices, Payment Procedure, and Terms

5.1. The Buyer may purchase goods from the online store 24 hours a day, 7 days a week.
5.2. The contract becomes effective once the Buyer clicks the “Confirm Order” button and the Seller confirms the order by sending a confirmation email to the Buyer’s provided address.
5.3. All prices in the online store and in the created order are indicated in euros (including VAT).
5.4. The Buyer may pay for goods in one of the following ways:
5.4.1. **Online banking** – advance payment through the Buyer’s online banking system. The Buyer must have an online banking agreement with one of the supported banks. The Buyer transfers the money to the store’s account. Responsibility for data security lies with the respective bank, as all financial transactions occur within the bank’s online system.
5.4.2. **Bank transfer** – advance payment by printing the order and transferring the amount to the store’s bank account at a bank branch.
5.5. The Buyer undertakes to pay for the goods immediately. The goods are prepared for shipment only after the payment is received.

6. Delivery of Goods

6.1. When selecting delivery, the Buyer must specify the exact delivery address.
6.2. The Buyer undertakes to receive the goods personally. If the Buyer cannot receive the goods and they are delivered to the indicated address, the Seller shall not be liable for delivery to an unintended recipient.
6.3. Goods are delivered by the Seller or an authorized courier.
6.4. The Seller delivers the goods according to the delivery times stated in product descriptions. These times are indicative and do not apply when items are out of stock. The Buyer agrees that delivery may be delayed due to unforeseen circumstances beyond the Seller’s control. In such cases, the Seller must contact the Buyer and agree on new delivery terms.
6.5. The Seller is not liable for delivery delays if they occur due to the Buyer’s fault or circumstances beyond the Seller’s control.
6.6. The Buyer must immediately notify the Seller if the package is damaged, the wrong items or quantities are delivered, or the items are incomplete.
6.7. If any packaging damage is noticed upon delivery, the Buyer must note this on the delivery document or fill out a separate report in the courier’s presence. Failure to do so releases the Seller from liability for product damage related to packaging defects not recorded at delivery.

7. Product Quality and Warranty

7.1. Each product’s description includes general data and specifications.
7.2. The Seller is not liable for slight differences in color, shape, or other parameters caused by the Buyer’s display settings.
7.3. The Seller may provide a quality guarantee for certain products, with terms specified in product descriptions.
7.4. If no warranty is specified, the warranty provided by applicable laws applies.

8. Product Returns and Exchanges

8.1. Defective goods are repaired, replaced, or refunded in accordance with the Lithuanian Minister of Economy Order No. 217 of 29 June 2001 “On the Approval of the Rules for the Return and Exchange of Items,” except in cases where returns are prohibited by law (e.g., hygiene items such as bedding). Refunds are always made to the payer’s bank account.
8.2. The Buyer may return goods within 14 (fourteen) business days of delivery by informing the Seller via the contact details provided, indicating the product name, order number, and reason for return.
8.3. When returning goods, the following conditions must be met:
8.3.1. the product must be in its original undamaged packaging;
8.3.2. the product must not be damaged or used;
8.3.3. the product must retain its commercial appearance (labels intact, protective film unremoved, etc.) – except when returning defective goods;
8.3.4. the product must include all parts and accessories;
8.3.5. proof of purchase must be provided.
8.4. The Seller may refuse to accept returned goods if these return conditions are not met.
8.5. If the wrong or defective item was delivered, the Seller must collect it and replace it with a correct one.
8.6. If replacement is not possible, the Buyer will be refunded the amount paid, excluding delivery costs.

9. Buyer’s and Seller’s Liability

9.1. The Buyer is fully responsible for the accuracy of the personal data provided. If incorrect information is submitted, the Seller is not liable for resulting consequences and may seek compensation for direct losses.
9.2. The Buyer is responsible for all actions performed using the online store.
9.3. A registered Buyer is responsible for sharing login data. If a third party uses the account, the Seller considers that person to be the Buyer.
9.4. The Seller is not liable for losses resulting from the Buyer’s failure to read or follow these Rules, even if given the opportunity.
9.5. If the online store contains links to third-party websites, the Seller is not responsible for their content, services, or actions.
9.6. The liable Party must compensate the other Party for any direct losses incurred.

10. Marketing and Communication

10.1. The Seller may initiate various promotions in the online store at its discretion.
10.2. The Seller has the right to modify or terminate promotions without notice. Any changes apply prospectively from the moment they are made.
10.3. The Seller sends all notices to the Buyer via the contact details provided during registration.
10.4. The Buyer sends all notices and inquiries to the Seller using the contact information listed in the “Contacts” section.
10.5. The Seller is not liable if the Buyer fails to receive informational or confirmation messages due to internet or email service provider disruptions.

11. Final Provisions

11.1. These Purchase–Sale Rules are governed by the laws of the Republic of Lithuania.
11.2. Any disputes arising from the implementation of these Rules shall be resolved through negotiation. If no agreement is reached, disputes shall be settled according to Lithuanian law.
